The new Companies Act came in effect during 2009. One of the most important provisions for entrepreneurs is the requirement to file a Memorandum of Incorporation (MOI) in certain circumstances.

There seems to be a lot of confusion around the requirement to amend or replace a company’s existing memorandum and articles of association with the memorandum of incorporation described in the Act.

Word to the wise: your MOI is due early in 2013!

In this interview, Deon Terblanche talks to Grant Gerrits, an accountant in Johannesburg who works with the new Companies Act on a daily basis. Grant was kind enough to share some of the most important things entrepreneurs have to do right now to comply with this new piece of legislation. He also discusses the effect of the new Act on existing companies as well as close corporations.

Watch the interview for information on how and when to lodge your new Memorandum of Incorporation. Towards the end of the interview, Grant also shares some tips to save on your annual auditing fees.
